Renesas Electronics Corporation, the main supplier of advanced semiconductor solutions, and Sequans Communications S.A., the leader of 5G/4G cellular IoT chips and modules, announced that the two companies have signed a memorandum of understanding. According to the terms of the memorandum of understanding, Renesas Electronics Corporation will commence the cash acquisition of all issued ordinary shares of Sequans, including $3.03 per American Depositary Stock (ADS) (each representing four ordinary shares), after consultation with the Sequans Labor Committee and receiving favorable advice from the Sequans Board of Directors. The transaction value is approximately $249 million, including net debt, and is expected to be completed in the first quarter of 2024, subject to confirmation of tax processing from relevant departments, regulatory approval, and other customary transaction conditions.
After the transaction is completed, Renesas plans to integrate Sequans’ extensive cellular connectivity products and IPs into its core product lineup, including microcontrollers, microprocessors, analog and mixed signal front-end. This acquisition will enable Renesas to immediately expand its coverage in the Wide Area Network (WAN) market, including a wide range of data rates. It will also enhance Reza Electronics’ already rich portfolio of personal area network (PAN) and local area network (LAN) connectivity products.
Driven by the demand for smart meters, asset tracking systems, smart homes, smart cities, connected cars, fixed wireless access networks, and mobile computing devices, the cellular IoT technology market provided by companies such as Sequans is rapidly growing. An industry study predicts that the number of cellular IoT devices will continue to grow at a rate of over 10% annually.
The acquisition of Sequans is the latest attempt by Ruisa Electronics to expand its connectivity product supply through strategic acquisitions, including the acquisition of Dialogue, Celeno, and the recent acquisition of Panthronics. Renesas and Sequans have been collaborating since 2020 to provide comprehensive solutions that combine Renesas’ embedded processors and analog front-end products with Sequans’ wireless chipsets for large-scale IoT and broadband IoT applications.
