Nokia announced that it has signed a formal agreement for AURELIUS to acquire Nokia’s Enterprise Campus Edge (ECE) business. The transaction is expected to be delivered in the first half of 2027, provided that customary delivery conditions are met.
As an independent enterprise under AURELIUS, ECE is expected to gain greater operational independence and a focused strategic positioning, thereby helping it drive innovation, respond quickly to customer needs, and accelerate the digitization and transformation of industrial operations.
ECE is a recognized industry leader in private wireless networks, serving nearly 900 customers in industries such as manufacturing, mining, logistics, airports, ports, and power generation worldwide. Its business portfolio also includes industrial equipment, locally deployed operational technology (OT) edge and micro edge solutions, as well as various software supporting industrial artificial intelligence applications. ECE’s digital platform connects assets and processes OT data locally to ensure higher data security and sovereignty, helping organizations improve operational performance, enhance automation levels, and enhance sustainability and worker safety.
Fabian Steger, Managing Director of AURELIUS IV and V funds, stated that “ECE is a strong enterprise with differentiated technology, excellent talent team, global business layout, and a stable customer base covering various industries, including Fortune Global 500 companies. We believe that as an independent enterprise, ECE has significant opportunities to further consolidate its leading position in private 5G and industrial edge fields, and expand its business portfolio to emerging areas such as artificial intelligence driven industrial automation, thereby helping customers accelerate the digitization and automation process of their operations.”
Konstanty Owczarek, Chief Corporate Development Officer of Nokia, said: “This proposed transaction supports Nokia’s strategy of focusing on its core business portfolio and investing capital and resources in areas that can create the greatest long-term value. It also lays a solid foundation for ECE to embark on the next stage of growth as an independent enterprise. Throughout the transition period, our top priority is to maintain sustained business growth and ensure a smooth transition between existing customers and employees. ”
According to the agreement, ECE employees are expected to be transferred along with the business at the time of delivery, subject to meeting customary delivery conditions, including completing notification and negotiation procedures with employee representatives as required (if applicable) and obtaining regulatory approvals, in accordance with applicable local laws and procedures. The two companies are working closely together to ensure a smooth transition for existing customers and employees, and to support a smooth handover process.
